Terms and Conditions

Welcome to Tracktual (“Tracktual,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, and services (collectively, the “Service”).
By accessing or using Tracktual, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1Use of Service
1.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Tracktual. By using the Service, you represent and warrant that you meet these requirements.
1.2 Account Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information at all times and to promptly update your account information if it changes. You are responsible for maintaining the confidentiality of your login credentials and must not share them with any third party.
1.3 Account Responsibility
You are solely responsible for all activity that occurs under your account, whether or not you authorized it. You must notify us immediately at support@tracktual.com if you become aware of any unauthorized access or use of your account. Tracktual shall not be liable for any loss or damage arising from your failure to comply with this obligation.
2Subscription and Billing
2.1 Plans
Tracktual offers free and paid subscription plans as described on our Pricing page. Features and limits vary by plan. We reserve the right to modify, add, or discontinue plans at any time with reasonable notice.
2.2 Payment
Paid subscriptions are billed on a recurring basis (monthly or annual, as selected). You agree to provide valid and accurate payment information and authorize us to charge your payment method on a recurring basis. If payment fails, we may suspend or downgrade your account.
2.3 Plan Changes
You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle. No credits or prorations are provided for the unused portion of a downgraded plan, except where required by law.
2.4 Cancellation
You may cancel your subscription at any time through your account settings. You will retain access to paid features through the end of your current billing period. Cancellation does not entitle you to a refund for any previously charged amounts.
2.5 Refunds
Except where required by applicable law, all payments are non-refundable. This includes fees paid for partial billing periods, unused features, or plan downgrades. If you believe a charge was made in error, contact us within 30 days of the charge.
2.6 Price Changes
We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
3User Content
3.1 Ownership
You retain full ownership of all content you upload to the Service, including contracts, files, documents, and related data (“User Content”). Tracktual does not claim any ownership rights over your User Content.
3.2 License to Tracktual
By uploading or submitting User Content to the Service, you grant Tracktual a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your User Content solely to the extent necessary to operate, maintain, and provide the Service to you.
3.3 Your Responsibility for Content
You are solely responsible for your User Content, including its accuracy, legality, and appropriateness. You represent and warrant that you have all rights necessary to upload your User Content and that doing so does not violate any law or third-party rights. Tracktual is not responsible for and expressly disclaims any liability arising from your User Content.
4Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable local, state, national, or international law or regulation
- Upload, transmit, or distribute viruses, malware, spyware, or any other harmful code
- Attempt to gain unauthorized access to the Service, other user accounts, or any connected systems
- Interfere with, disrupt, or degrade the performance, integrity, or security of the Service
- Reverse engineer, decompile, disassemble, copy, or create derivative works from any part of the Service
- Use the Service to store, process, or transmit content that is unlawful, infringing, or defamatory
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent
5Intellectual Property
All rights, title, and interest in and to the Service — including all software, source code, design, text, graphics, logos, trademarks, and branding — are and remain the exclusive property of Tracktual or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Service without our prior written consent.
6No Guarantees — Alerts, Notifications & Contract Management
IMPORTANT: Tracktual is a contract organization and tracking tool. It is not a substitute for your own diligent management of contractual obligations. You remain solely responsible for monitoring, managing, and fulfilling all of your contractual deadlines, obligations, and compliance requirements.
6.1 No Guarantee of Alerts or Notifications
Tracktual provides automated email reminders and alerts as a convenience feature only. We do not guarantee that alerts or notifications will be delivered, received, accurate, timely, or complete. Alerts may be delayed, filtered as spam, blocked by email providers, or fail to send due to technical issues or factors outside our control.
You must not rely solely on Tracktual alerts as your only means of tracking contract deadlines. We strongly recommend maintaining independent tracking systems, calendar reminders, and internal processes for managing your contractual obligations.
6.2 No Guarantee of Data Accuracy
Tracktual stores and displays the information you enter or upload. We do not verify, validate, or audit the accuracy or completeness of any contract data, dates, values, or other information in the Service. Tracktual is not responsible for errors, omissions, or inaccuracies in your data.
6.3 User Responsibility for Contract Management
You acknowledge and agree that:
- You are solely and exclusively responsible for managing all of your contractual obligations, renewal decisions, and cancellation deadlines
- Tracktual does not assume any responsibility for missed deadlines, auto-renewals, contract lapses, or financial losses arising from your use of or reliance on the Service
- The Service is an organizational aid — it does not replace professional legal, financial, or procurement advice
- No action or inaction by Tracktual constitutes advice regarding your contractual obligations
6.4 Service Availability
We strive to keep Tracktual available and operational, but we do not guarantee uninterrupted, error-free, or continuous access to the Service. We are not liable for any losses or damages resulting from Service downtime or unavailability.
6.5 No Professional or Legal Advice
Tracktual is a contract tracking and organization tool only. Nothing in the Service constitutes legal, financial, regulatory, or professional advice. You should seek independent professional advice regarding your specific contractual and legal obligations.
7Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACKTUAL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Tracktual makes no warranty that:
- The Service will meet your specific requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- Any alerts, reminders, or notifications will be delivered or will prevent missed deadlines
- Any errors or defects in the Service will be corrected
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
8Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACKTUAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and includes damages arising from:
- Missed contract deadlines, auto-renewals, or contract lapses
- Failure of alerts, reminders, or notifications to be delivered or received
- Inaccurate, incomplete, or missing contract data
- Unauthorized access to your account or data
- Service unavailability, downtime, or interruptions
8.1 Liability Cap
Tracktual's total cumulative liability to you for any and all claims shall not exceed the greater of: (a) the total amount you paid to Tracktual in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).
9Indemnification
You agree to indemnify, defend, and hold harmless Tracktual and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your access to or use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
10Data and Storage
10.1 Your Responsibility for Data
You are solely responsible for maintaining independent backups of all data and content you store in the Service. Tracktual is not responsible for any loss, corruption, or inaccessibility of your data, regardless of the cause.
10.2 Data Security
While we implement reasonable technical and organizational measures to protect your data, no system is completely secure. Tracktual does not guarantee that your data will be protected from unauthorized access, breaches, or other security incidents.
10.3 Data Retention and Deletion
We retain your User Content and account data for as long as your account is active or as needed to provide the Service. You may request deletion of your data by contacting us at support@tracktual.com.
10.4 Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
11Termination
11.1 Termination by Tracktual
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms or that your use of the Service poses a risk to Tracktual or other users.
11.2 Termination by You
You may terminate your account at any time by cancelling your subscription through your account settings and ceasing use of the Service. Termination does not entitle you to a refund of any fees previously paid.
11.3 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will do so, including Sections 3, 5, 6, 7, 8, 9, and 13.
12Changes to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will post the updated Terms on this page with a revised effective date and, where appropriate, notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
13Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.
13.2 Jurisdiction
You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in North Carolina, and you hereby consent to personal jurisdiction and venue in such courts.
13.3 Informal Resolution
Before filing any formal legal claim, you agree to contact us at support@tracktual.com and make a good-faith effort to resolve the dispute informally within 30 days.
13.4 Waiver of Class Actions
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Tracktual.
